These Terms & Conditions (“Terms”) govern your access to and use of the services provided by Pure Value Technologies Ltd, a company incorporated under the laws of the United Arab Emirates, with trade licence number: 07011112 and registered address at Office A, Innovation City Business Centre, RAK BANK ROC Office, Ground Floor, Al Rifaa, Sheikh Mohammed Bin Zayed Road, Ras Al Khaimah, United Arab Emirates
in the UAE (hereinafter “we”, “us”, “our”, “Company”). By accessing or using our website, mobile application, automated valuation platform or requesting a valuation service (collectively, the “Services”), you (“you”, “your”, “User”, “Client”) agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Services.
1. Scope of Services
1.1 We provide an automated valuation service for residential real-estate properties in the United Arab Emirates (the “Property”) using algorithmic models, data analytics and external data sources (the “Valuation”).
1.2 These Terms apply to your use of our Services, including (but not limited to) registration, submission of property information, receipt of the Valuation, and any other ancillary services we may provide.
1.3 You acknowledge that the Valuation is for informational purposes only and that it does not constitute an appraisal, guarantee of value or legal or financial advice unless otherwise expressly agreed in writing.
2. Eligibility and Registration
2.1 You represent and warrant that:
(a) you are at least 18 years of age and legally capable of entering into binding contracts in the UAE;
(b) you are using the Services for lawful purposes in the UAE;
(c) all information you provide to us is true, accurate, current and complete.
2.2 If you register an account with us, you agree to keep your login credentials secure and to notify us promptly of any unauthorized use.
3. Your Obligations
3.1 You will provide all required information about the Property accurately and in a timely manner, including property address, size, transaction history, market comparables, ownership details, geolocation or map reference, as requested.
3.2 You will cooperate with us in providing additional documentation or clarifications we may reasonably require to perform the Valuation.
3.3 You agree not to misuse the Services (including by: tampering with our models; submitting fraudulent or misleading data; reverse-engineering our models; or using the results for any purpose not permitted under these Terms).
3.4 You shall comply with all applicable UAE laws, including but not limited to Federal Law No. 15 of 2020 on Consumer Protection.
4. Use of Valuation Output
4.1 We provide the Valuation output in electronic form and you may use it for the purpose specified (e.g., internal use, decision-making).
4.2 You acknowledge that the Valuation is based on current and historical data, algorithmic modelling and external sources; actual market value may differ. We do not guarantee the accuracy, completeness or fitness for any purpose of the Valuation.
4.3 You agree to use the Valuation responsibly, and to obtain professional advice (e.g., from a licensed real-estate appraiser, legal or financial adviser) if needed.
4.4 If you share the Valuation with third parties, you must reproduce our disclaimers and retain our branding as specified in our instructions.
5. Fees, Payment & Billing
5.1 You agree to pay the fees set out on our website or in our quotation when you request the Valuation (the “Fees”). Unless otherwise agreed, all Fees are exclusive of VAT or other taxes which you shall be responsible for.
5.2 Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
6. Intellectual Property & Licence
6.1 All intellectual property rights in the Services, our models, algorithms, software, data sources, reports and related materials are owned by the Company or our licensors.
6.2 We grant you a non-exclusive, non-transferable, revocable licence to use the Valuation report for your internal business purposes, subject to these Terms; you shall not copy, modify, reproduce, distribute or create derivative works, or use it commercially beyond what is permitted without our prior written consent.
7. Privacy and Data Protection
7.1 We process your personal data in accordance with our Privacy Policy, which is incorporated herein by reference.
7.2 You consent to our collection, use and disclosure of your personal data (and property-related data) in order to provide the Services, administer your account, improve our models and comply with legal obligations.
7.3 When you provide data to us (including property data), you warrant that you have the right to provide such data and you understand that we may process and aggregate it (in anonymised form) for research and analytics.
7.4 Consent to Collection, Processing and International Transfer of Personal Data
By accessing, browsing, registering for, or using this website and its services, you expressly acknowledge and consent to the collection, processing, storage, use, and disclosure of your personal data as described in the Privacy Policy.
You confirm that you have read and understood the Privacy Policy and voluntarily provide your consent for the Company to process your personal data for the purposes outlined therein, including account administration, service provision, customer support, security, analytics, compliance, and other legitimate business purposes.
You further acknowledge and expressly consent to the transfer, storage, and processing of your personal data outside the United Arab Emirates, including on cloud infrastructure and services operated by third-party providers located in jurisdictions such as the United States. The Company will implement reasonable and appropriate technical, organizational, and contractual safeguards to protect personal data during such transfers and processing activities.
Where required by applicable law, including UAE Federal Decree-Law No. 45 of 2021 concerning the Protection of Personal Data (PDPL), your use of the website, creation of an account, submission of personal information, or continued use of the services shall constitute your affirmative consent to the processing of your personal data in accordance with these Terms and the Privacy Policy.
If you do not agree to such collection, processing, storage, or international transfer of your personal data, you must refrain from using the website and services.
8. Disclaimer & Limitation of Liability
8.1 The Services (including the Valuation) are provided “as-is” and “as-available”. We expressly disclaim all warranties, whether express or implied, including fitness for a particular purpose, accuracy, reliability, completeness or non-infringement.
8.2 To the extent permitted by applicable law, our total liability to you arising out of or in connection with these Terms or the Services, whether based in contract, tort (including negligence), statute or otherwise, shall not exceed the amount of Fees you have paid in the 12 months preceding the claim.
8.3 We shall not be liable for any indirect, special, incidental, consequential or punitive damages, loss of revenue, profit, business interruption, data loss or loss of goodwill, even if we have been advised of the possibility of such damages.
8.4 Notwithstanding the foregoing, nothing in these Terms shall limit liability for death or personal injury caused by our negligence, or liability which cannot be excluded or limited under applicable UAE law.
9. Term, Termination & Suspension
9.1 These Terms shall continue in force until terminated in accordance with this clause.
9.2 We may suspend or terminate your access to the Services immediately if you breach these Terms, or if required by law, or if we believe your use of the Services may expose us to liability or legal risk.
9.3 Upon termination: (a) your right to use the Services and Valuation reports ends; (b) you must cease use of the Valuation reports and destroy or return all copies; (c) any accrued rights or liabilities survive termination (such as payment obligations, confidentiality, limitation of liability, clauses relating to intellectual property).
9.4 You may terminate your account by providing us with written notice, subject to any outstanding obligations (including payment of Fees) which you shall fulfil.
10. Changes to the Services and Terms
10.1 We may update or modify the Services, our models, features, pricing or these Terms from time to time. We will provide you with reasonable notice of material changes (via email or through our platform).
10.2 We will ask for your consent if a change constitutes a substantial alteration in your rights under these Terms.
10.3 If you do not agree to such changes, you may cease using the Services; continued use after the change constitutes your acceptance of the updated Terms.
Note: Terms that permit unilateral changes without notice or consent may be void under UAE law as “harmful terms”.
11. Governing Law & Dispute Resolution
11.1 These Terms and any dispute arising out of or in connection with them will be governed by and construed in accordance with the laws of the United Arab Emirates.
11.2 Except where mandatory law directs otherwise, the parties submit to the exclusive jurisdiction of the courts of [specify emirate, e.g., Dubai] (excluding the free-zone financial centre courts unless agreed) to settle any dispute.
11.3 If any provision of these Terms is held to be invalid or unenforceable under applicable law, that provision will be deemed replaced by a valid enforceable provision that most closely matches the intent of the original; the remainder of the Terms will continue in full force.
12. Miscellaneous
12.1 You may not assign or transfer your rights or obligations under these Terms without our prior written consent; we may assign our rights at our discretion.
12.2 If we fail to enforce any right or remedy under these Terms, it does not constitute a waiver of that right or remedy.
12.3 Headings in these Terms are for convenience only and do not affect interpretation.
12.4 These Terms, together with the Privacy Policy and any service-specific agreement or quotation between you and us, constitute the entire agreement between you and us regarding the Services and supersede prior or contemporaneous communications or agreements.
